BY PARTICIPATING IN THE SPRITE^® UNDER THE CAP MOBILE PROGRAM ("PROGRAM"), YOU ARE AGREEING TO THE FOLLOWING TERMS AND CONDITIONS (“TERMS AND CONDITIONS”) WITHOUT LIMITATION OR QUALIFICATION. PLEASE READ THEM CAREFULLY. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU SHOULD NOT PARTICIPATE IN THIS PROGRAM.

Program Description:
The Program is available beginning January 1, 2011 12:00 a.m. and ending December 31, 2012 at 11:59 p.m. Offer available on specially marked bottles of Sprite^® and Sprite Zero™, while supplies last. The Program is an instant reward offer open to legal residents of the 50 U.S. (& D.C.) who are 13 or older of at time of participation. Void where prohibited. Your instant reward may be a wallpaper, ringtone, graphic, promotion code (“Promo Code”) or other digital content that will be sent to your phone as downloadable mobile content or a code that you use to claim your instant reward online. Your phone must be a valid wireless device. The Program will be divided into specific time periods based on the type of reward available at that time. All rewards will have the same value during the time period that they are available. The value of the instant rewards throughout the Program will be between $0.99 and $5.00.

How to Participate:
To participate in the Program, you must subscribe to a participating wireless carrier and have text messaging and mobile download/internet capabilities enabled on your cell phone; however, your participation may be limited based on your cell phone/handset or your wireless carrier. Please see the Find Your Wireless Carrier Section below for participating wireless carriers. To participate, text the code under the cap (“UTC Code”) of a specially-marked 20 oz bottle of Sprite or Sprite Zero to the Sprite short code, 777483 (Sprite, collectively the “Sprite Short Code”). After you send your text message to the Sprite Short Code, you will receive a series of return text messages verifying your eligibility prior to receiving the text message indicating your Promo Code reward.

If you wish to stop participating once you have sent your cap code, Text “STOP” to 777483 to end or “HELP” to 777483 for more information.

UTC Codes can only be used once and you are limited to 5 cap code redemptions per phone/per User/per day. Your code may also be used on My Coke Rewards. For information on the My Coke Rewards loyalty program, visit www.mycokerewards.com.

Cost to Participate:
By participating, you agree to incur any and all charges from your wireless carrier. Standard text message and data charges apply. Other charges may also apply.

Text-Messaging Charges:
If you choose to participate in the Program by sending a text message to the Sprite Short Code, each text message, sent or received, may incur a charge, depending on your wireless carrier plan. Please see your wireless carrier plan for pricing details.

Download Charges:
Your instant reward may be downloadable directly to your cell phone and you may incur costs on a per megabyte or per kilobyte basis unless you subscribe to a plan or feature that includes unlimited sending and receiving of data. Please see your wireless carrier plan for pricing details.

Find Your Wireless Carrier:
The Program is compatible with AT&T, Sprint, T-Mobile, and Verizon Wireless, Alltel, Nextel, Boost, Cellular One Dobson and U.S. Cellular cell phones. The instant rewards are not compatible with all cell phone models and carriers. The Coca-Cola Company, its subsidiaries, sponsors, or affiliated companies (collectively, “Affiliated Entities”) can not guarantee this Program will work for all users.

Instant Rewards:
Proprietary Rights. The instant rewards received in this Program create an agreement between you (i.e., the “Licensee”) and the rights holder of each reward granting you a worldwide non-exclusive limited, non-transferable, revocable license to download, install and/or use the instant rewards provided through this Program on your cell phone or personal computer. All rights not expressly granted here are reserved by the rights holder. This agreement is a sub-license between you and the rights holder. The Coca Cola Company is not a party to the agreement between you and the rights holder.

Licensee may not: (i) modify, revise, translate or create any derivative works of any instant reward; (ii) decompile, reverse engineer, disassemble or otherwise attempt to derive the source code for the instant reward; (iii) redistribute, sell, rent, lease, sublicense, or otherwise transfer rights to the instant reward; or (iv) remove or alter any proprietary notices, legends, symbols or labels in the instant reward, including, but not limited to, any trademark, logo, copyright.

Ownership:
The instant rewards available through this Program may be the products of independent third parties. Title, ownership rights, and intellectual property rights in each instant reward and all copies thereof are retained by and shall remain in and with the rights holder. Each instant reward is protected by copyright and other intellectual property laws and by international treaties.

Disclaimer of Warranty:
INSTANT REWARDS ARE SUBJECT TO CHANGE AND ARE PROVIDED TO YOU “AS IS” WITHOUT ANY WARRANTY OF ANY KIND, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. ALL WARRANTIES ARE ALSO DISCLAIMED WITH REGARD TO WHETHER ANY INSTANT REWARD WILL MEET YOUR REQUIREMENTS, WORK IN COMBINATION WITH ANY CELLPHONE, HARDWARE OR OTHER SOFTWARE OR OPERATE ON AN UNINTERRUPTED OR ERROR FREE BASIS. Limitation of Liability:
YOUR PARTICIPATION IN THE PROGRAM IS AT YOUR OWN RISK. THE COCA COLA COMPANY, ITS SUBSIDIARIES, SPONSORS, OR AFFILIATED COMPANIES NOR THE OFFICERS OR DIRECTOR OF EACH OR ANY OTHER PARTY INVOLVED IN DEVELOPING, PRODUCING OR EXECUTING THE PROGRAM ARE NOT RESPONSIBLE OR LIABLE FOR INCOMPLETE, LOST, LATE, DAMAGED, ILLEGIBLE OR MISDIRECTED MOBILE MESSAGES OR FOR ANY TECHNICAL PROBLEMS, MALFUNCTIONS OF ANY TELEPHONE LINES, COMPUTER SYSTEMS, SERVERS, PROVIDERS, HARDWARE/SOFTWARE, LOST OR UNAVAILABLE NETWORK CONNECTIONS OR FAILED, INCOMPLETE, GARBLED OR DELAYED COMPUTER TRANSMISSION OR ANY COMBINATION THEREOF. Reservation of Rights:
The Coca Cola Company and the Affiliated Entities reserve the right to modify the types of instant rewards available as part of the Program. The Coca-Cola Company and the Affiliated Entities also reserve the right at their sole discretion to disqualify or restrict access from any individual who tampers with the Program process, engages in fraudulent activity, or uses the Program in any manner that is inconsistent with these Terms and Conditions or any federal, state or local laws, statues, ordinances or regulations. The Coca Cola Company or its Affiliated Entities assumes no responsibility for undeliverable mobile messages resulting from any form of active or passive mobile filtering by a user's mobile provider or for insufficient space in user's mobile phone account to messages. The Coca Cola Company or its Affiliated Entities reserves the right, in its sole discretion, to cancel or suspend this Program should a virus, bugs, failed test environment errors or other causes beyond the control of the The Coca-Cola Company or its Affiliated Entities corrupt the administration, security or proper operation of the Program. In the event of termination, a notice will be posted on-line. The Coca-Cola Company or its Affiliated Entities reserves the right to modify the promotion or disqualify participants if fraud, misconduct or technical failures destroy the integrity of the Program as determined by The Coca Cola Company or its Affiliated Entities, in its sole discretion. CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROGRAM OR ANY WEB SITE ASSOCIATED WITH THIS PROGRAM IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, THE COCA COLA COMPANY AND THE AFFILIATED ENTITIES RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Any personal data (for example, your name or telephone number) we collect for this Program is subject to Sprite.com’s Privacy Policy, which is located at http://www.mycokerewards.com/privacyPolicy.do and incorporated herein by this reference.

Export Control:
You agree to abide by U.S. and other applicable export control laws and not to transfer, by electronic transmission or otherwise, any instant reward (content or software) subject to restrictions under such laws to a national destination or person prohibited under such laws.

Miscellaneous:
These Terms and Conditions are governed by the laws of the State of Georgia without regard to its choice of law provisions. The courts of general jurisdiction located within Fulton County, Georgia, USA will have exclusive jurisdiction over any and all disputes arising out of, relating to, or concerning these Terms and Conditions and/or the Program or in which these Terms and Conditions and/or the Program are a material fact.

As a condition of participating in this Program, you agree that (1) any and all disputes, claims, and causes of action arising out of or connected with this Program, or any instant rewards obtained through the Program, shall be resolved individually, without resort to any form of class action and exclusively by arbitration under the International Arbitration Rules of the American Arbitration Association. Arbitration will take place in Fulton County, Georgia; (2) notwithstanding anything in these Terms and Conditions, any and all claims, judgments and rewards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Program, but in no event attorneys' fees; and (3) notwithstanding anything in these Terms and Conditions, under no circumstances will you be permitted to seek recovery for, and you hereby waive all rights to claim, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and waive any and all rights to have damages multiplied or otherwise increased.

The Coca Cola Company may at any time and without notice revise these Terms and Conditions by updating this posting. You are bound by any and all revisions and you should periodically visit this page to review the most current Terms and Conditions for the Program. If any provision of these Terms and Conditions is held invalid, illegal or unenforceable, such provision shall be modified to the extent necessary to make it legal, valid and enforceable, all other provisions will remain in full force and effect. No waiver of any of the provisions of these Terms and Conditions shall be deemed or shall constitute a waiver of any other provisions hereof (whether or not similar), nor shall waiver constitute a continuing waiver unless otherwise expressly provided. This agreement constitutes the entire agreement between you, The Coca-Cola Company and the Affiliated Entities regarding the Program and the rights holder regarding the instant rewards.
